These Terms govern the use of Property Wall by property users, field managers, engineers, mediators, and area managers. Please read them carefully before using the platform.

1. Acceptance of Terms
These Terms & Conditions (“Terms”) constitute a legally binding agreement between you and Property Wall governing every aspect of your access to and use of the platform, including the property listing marketplace, the service-provider registration and network management system, the referral and sponsorship framework, and all APIs, administrative interfaces, and tools provided in connection with the platform. These Terms must be read in conjunction with the Property Wall Privacy Policy, which governs the collection, processing, and protection of your personal data and is expressly incorporated into these Terms by this reference.
By completing the account registration flow, submitting a property for listing, enrolling as a Field Manager or Engineer through the service-provider onboarding process, using a referral code to introduce a new user to the platform, or by accessing any feature, page, or resource of the platform in any other capacity, you affirm unconditionally that you are at least 18 years of age, that you have read these Terms in full, that you understand them, and that you irrevocably agree to be legally bound by them. If you are acting on behalf of a registered company, firm, or other legal entity, you additionally affirm that you are duly authorised to legally bind that entity to these Terms, and that your acceptance constitutes the entity’s acceptance.
If you do not agree with any provision of these Terms, you must not access or use Property Wall. Continued access to or use of the platform after the publication of a revised version of these Terms constitutes your irrevocable acceptance of the revised Terms, as provided in Section 17. Property Wall reserves the right to modify, suspend, restrict, or discontinue any feature or the platform as a whole at any time, with or without advance notice, and without incurring any liability to you.
2. Platform Overview and Nature of Service
Property Wall is a technology-driven marketplace and service-coordination platform. Its primary functions are to enable property owners and authorised agents to list properties for sale or rent, to allow prospective buyers and tenants to search and discover listed properties, and to facilitate the engagement of verified local service providers — Field Managers and Engineers — in connection with property transactions and enquiries. The platform currently supports the following property categories: agricultural land, residential flats, apartments, independent houses, and rental units in various BHK configurations. Commercial properties including office spaces and retail units may also be listed where supported by the platform’s classification system.
Property Wall is a technology intermediary only. It does not hold, manage, lease, sell, or acquire any interest in any property listed on the platform. It does not act as, and must not be construed to be, a real-estate agent, sub-agent, broker, dealer, licencee, or franchisor in relation to any listed property. Property Wall does not represent buyers, sellers, landlords, or tenants in any transaction and is not a party to any purchase agreement, rental agreement, lease, or service contract that may arise between users of the platform. All such agreements are entered into exclusively between the relevant property owner, buyer, tenant, or service provider and are governed by the applicable provisions of Indian contract law and any other relevant legislation.
Nothing on the Property Wall platform constitutes professional advice of any kind, including legal advice, financial advice, property valuation advice, structural engineering advice, or investment advice. Property information displayed on the platform is submitted by users and is not independently verified by Property Wall for accuracy, completeness, or legality. Users are strongly advised to conduct their own professional due diligence before entering into any property transaction arising from or facilitated by the platform, including but not limited to independent legal title searches, physical property inspections, structural assessments, and financial assessments.
3. User Roles and Responsibilities
Property Wall operates a structured multi-role participant model. Every registered account is assigned a single role at registration, and that role determines the set of platform features accessible to the account, the data the account can view, the actions the account may perform, and the specific obligations the account holder owes under these Terms. By registering in any role and using the platform features associated with that role, you accept the responsibilities set out below for your role category.
3.1 Property Users (user)
Property Users are the primary participants in the Property Wall marketplace. As a property user, you undertake to register with your genuine legal name, a valid and actively monitored email address, and an accurate mobile phone number. When submitting a property for listing, you represent and warrant that you hold legal authority to offer the property for sale or rent — whether by virtue of being the registered owner, holding a valid power of attorney from the registered owner, acting under a court-issued order, or operating as a formally documented authorised agent. You agree to provide accurate and factually correct information for every field in the listing submission form, and to keep your listing details current and accurate throughout the period the listing is active on the platform.
You acknowledge that every property listing you submit will enter the system with an approval status of pending and will remain invisible to the public until an Administrator reviews and approves it. You agree not to attempt to circumvent this workflow or to pressure Administrators into approving submissions that do not meet the platform’s content standards. You accept that Property Wall may reject, amend, or remove any listing at any time without incurring liability to you.
3.2 Field Managers (field_manager)
Field Managers are registered service providers who act as local representatives of the platform within a specific geographic service zone defined by PIN code and taluk declaration. By registering as a Field Manager, you acknowledge that your registration is subject to identity and financial verification, including the review of your PAN card number, bank account details, and supporting document images, by a platform Administrator. You agree that your registration may be placed in a pending status during the verification review period and that activation of your account may be withheld if verification cannot be satisfactorily completed.
Once active, you agree to confine your service activities strictly to the PIN code(s) and taluk(s) you declared during registration. You must maintain accurate and up-to-date bank account and nominee information throughout the period your account is active, so that any reward or commission processing can be completed correctly. You agree to represent Property Wall and its users with professionalism and integrity in all interactions and to refrain from any conduct that could bring the platform into disrepute.
3.3 Engineers (engineer)
Engineers are independent professional service providers offering specialised technical services, including property inspections, structural assessments, engineering evaluations, and related professional reports. By registering as an Engineer, you represent and warrant that your firm is legitimately constituted under applicable Indian law, that your GST registration is genuine and current, and that the professional licence reference you have provided accurately represents valid, subsisting professional credentials held by you or your firm at the time of registration and throughout your use of the platform.
You agree to offer services only within the scope of professional specialisation you declared at registration and only within the geographic service area defined by your declared PIN code and taluk. You acknowledge that Property Wall does not review, endorse, certify, or guarantee the quality or accuracy of any professional report, assessment, or recommendation you produce; all professional liability for your work product rests solely and exclusively with you as the independent professional service provider.
3.4 Mediators (mediator)
Mediators act as neutral facilitators who support negotiations and introductions between property owners, buyers, tenants, and service providers. As a Mediator, you agree to conduct all facilitation activities impartially, honestly, and in the genuine interests of the parties you serve. You must disclose any actual or potential conflict of interest before undertaking any facilitation engagement, and you must accurately represent the terms, conditions, and status of any property or transaction to all parties. Property Wall does not supervise, control, or accept liability for the outcome of any mediation activity conducted by registered Mediators.
3.5 Area Managers (area_manager)
Area Managers hold supervisory responsibility for the Field Managers and Mediators within the geographic region assigned to them. By accepting the Area Manager role, you agree to sponsor only Field Managers whom you have personally and independently assessed as genuine, professional, and capable of meeting the platform’s service standards. You agree to provide ongoing guidance and oversight to the Field Managers within your sponsored network, to monitor their conduct and compliance with these Terms, and to report any suspected policy violations or misconduct to the platform’s Administrators without delay.
Property Wall may hold Area Managers accountable for the systemic conduct of their sponsored network. Repeated or serious policy violations by Field Managers within an Area Manager’s network — particularly where evidence suggests the Area Manager was aware of or complicit in the violations — may result in a review of the Area Manager’s own account and may lead to account suspension or deactivation.
4. Account Registration and Security
You must be at least 18 years of age to register an account on Property Wall. By submitting the registration form, you represent and warrant that you meet this age requirement and that all information you provide during registration is genuine, accurate, and complete. Property Wall reserves the right to require additional identity verification at any stage of the account lifecycle and to refuse or suspend registration where satisfactory verification cannot be achieved.
Each individual or legal entity may maintain only one active account per role type. The creation of multiple accounts for the same role — whether under the same identity, under different names, or using different email addresses — is strictly prohibited. Where duplicate accounts are detected, all associated accounts may be suspended pending investigation, and any rewards or benefits that accrued through duplicate-account activity may be forfeited. An individual with a legitimate need to operate under more than one role (for example, a Field Manager who also lists personal properties as a standard user) must contact an Administrator for guidance before creating any additional account.
You are solely and entirely responsible for maintaining the security and strict confidentiality of your login credentials, including your registered email address and password. Property Wall will treat any activity performed using your credentials as activity authorised by you, whether or not you personally performed that activity, unless you have previously notified us of an unauthorised access incident. You are responsible for choosing a strong, unique password at the time of registration and must not share your credentials with any third party. You are required to update your password immediately if you believe it has been compromised.
Every account is assigned and maintained in one of three statuses: active, pending, or blocked. A pending account is undergoing verification or administrative review and may have limited access to platform features during that period. A blocked account cannot log in, cannot access any platform feature, and cannot submit, edit, or delete any content. If you believe that your account status has been changed in error or without justification, you may submit a written appeal to hello@propertywall.com and we will review the matter promptly. You must immediately notify Property Wall if you become aware of any unauthorised access to your account, any suspected compromise of your credentials, or any activity on your account that you did not authorise.
5. Property Posting Rules and the Approval Workflow
The quality, accuracy, and legitimacy of property listings on the Property Wall marketplace depend entirely on the integrity of the information submitted by listing users. Every listing submitted to the platform is subject to the binding rules set out in this section. Breach of these rules may result in the rejection or removal of the relevant listing and may constitute grounds for account suspension or deactivation.
The mandatory approval workflow. Every property listing submitted to Property Wall is created in the system with an approval status of pending. A listing in pending status is entirely invisible to all other users, to the general public, and to Field Managers. It will not appear in any search results, will not be accessible via any direct link, and will not be routed to any Field Manager for service purposes. A listing remains in this pending, non-visible state until a platform Administrator has individually reviewed the submission and made an affirmative determination to approve it. Upon approval, the listing becomes publicly visible and is simultaneously made available to the geographically appropriate Field Manager. If the Administrator determines that the submission does not meet the platform’s content standards, it will be rejected, and the submitting user will be notified of the rejection together with the Administrator’s stated reason. Property Wall does not guarantee any specific timeline for the review of pending submissions and assumes no liability for any loss arising from the period during which a listing is in pending status.
Accuracy of listing information. You are required to ensure that every data field you complete when submitting a listing is factually accurate at the time of submission. This requirement applies without exception to the declared property price (in Indian Rupees), the living area and plot area measurements (in square feet), the number of bedrooms, bathrooms, balconies, garages, and floors, the floor level of the specific unit, the furnishing status, the complete property address including PIN code and taluk, and any GPS coordinates you provide. Deliberate or reckless misstatement of any of these fields to induce a buyer, renter, or other party to take action on the basis of false information may constitute fraud under applicable Indian law and will result in immediate account suspension.
Property photographs and visual representations. All images uploaded in connection with a property listing must be genuine, unedited photographs of the actual property being listed, taken at or near the time of submission. It is prohibited to upload stock photographs, images of a different property, AI-generated or digitally composited images, or photographs that have been materially altered to misrepresent the property’s condition, size, features, or surroundings. Images are stored permanently in cloud object storage and associated irrevocably with the listing record. The upload of inauthentic images constitutes a material misrepresentation and will result in listing removal and possible account action.
Prohibition on duplicate listings. The same physical property, uniquely identified by its address and title, must not be submitted as more than one active listing on the platform at the same time, regardless of whether the duplicate uses a different title, a different category classification, or a different asking price. Duplicate listings, once detected by Administrators or reported by other users, will be removed from the platform without further notice. Repeated submission of duplicate listings is grounds for account suspension.
Platform not a party to resulting transactions. Regardless of whether a property listing leads to a sale, rental, lease, or any other transaction, Property Wall is not and will not become a party to that transaction. Listing a property on Property Wall does not constitute an offer to sell or rent within the meaning of Indian contract law; it constitutes only an invitation to treat. The terms of any transaction that arises from the use of the platform are entirely a matter between the participating parties and must comply with all applicable Indian laws, including the Real Estate (Regulation and Development) Act, 2016, the Transfer of Property Act, 1882, and applicable consumer protection legislation.
6. Field Manager Service Obligations
The Field Manager role carries specific and significant operational obligations that arise directly from the nature of the service. Field Managers are granted access to property listing details and to property owner contact information within their declared service zones as a direct, functional enabler of their service role. This access is a privilege, not a right, and it is fully conditional on Field Managers meeting the obligations set out in this section throughout their engagement with the platform.
A Field Manager must at all times confine their service activities to the PIN codes and taluk(s) they declared during the registration process. The platform routes enquiries and listing access based on this geographic declaration. Any Field Manager who attempts to access, service, or engage with property listings outside their declared service zone is breaching these Terms and may have their account access restricted or terminated. Expansion of a Field Manager’s operational territory requires a formal, written request submitted to, and affirmatively approved by, a platform Administrator. Verbal agreements or informal understandings regarding service-area expansion are not binding on Property Wall and will not be recognised as authorisation.
Field Managers are required to maintain current and accurate bank account and nominee information at all times during the period their account is active. Changes to bank account details, IFSC codes, branch information, or nominee designations must be updated within the platform’s account management interface or by contacting Property Wall promptly after any change occurs. Property Wall accepts no liability for failed, delayed, or misdirected reward or commission payments that result from inaccurate or outdated account details provided by the Field Manager.
Field Managers must maintain professional conduct in every interaction with property owners, prospective buyers, tenants, Engineers, and any other party encountered in the course of their platform activities. This obligation encompasses honouring commitments made to property owners, providing accurate information about properties and services, refraining from pressuring or manipulating any party, and avoiding any practice that constitutes a conflict of interest or that compromises the impartiality of the Field Manager’s service. Field Managers must not demand, solicit, or accept direct payments from property owners, buyers, or tenants for any service that Property Wall designates as platform-mediated. Any fee arrangement outside of the platform’s official compensation structure requires explicit prior written approval from Property Wall.
7. Engineer Obligations
Engineers listed on Property Wall represent themselves and their firms as qualified professionals capable of delivering reliable and legally compliant technical services to property users. The obligations in this section reflect the heightened responsibility that comes with holding oneself out as a professional in a field that directly affects property values, structural safety, and the financial decisions of buyers and owners.
Every Engineer registered on Property Wall is required to maintain all professional credentials, certifications, licences, and GST registrations declared during the onboarding process in a valid, current, and legally subsisting state throughout the entire duration of their engagement with the platform. If any declared credential lapses, expires, is revoked, is suspended, or becomes subject to a legal challenge, the Engineer must notify Property Wall at hello@propertywall.com within 48 hours of becoming aware of the change. The Engineer agrees to immediately suspend the provision of any services for which the lapsed or challenged credential is required, and to refrain from representing themselves as holding that credential until it is fully reinstated or replaced.
Engineers must provide services exclusively within the scope of professional specialisation declared at the time of registration. An Engineer whose registered specialisation is structural assessment, for example, must not apply for, accept, or perform engagements requiring civil planning, environmental assessment, or other specialisations outside their declared scope. Similarly, Engineers must confine their geographic service activities to the PIN code and taluk declared on their account. Misrepresentation of specialisation or geographic scope to a property user on the platform constitutes a violation of these Terms and may constitute misrepresentation under the applicable law.
Property Wall expressly disclaims any liability for the quality, accuracy, or legal compliance of any engineering report, assessment, structural opinion, or professional recommendation produced by a registered Engineer. Every such professional output is delivered exclusively by the Engineer in their independent capacity as a licensed professional. Property Wall does not review, verify, endorse, or underwrite any professional assessment, and it will not be joined as a party to any dispute, claim, or legal proceeding arising from a professional engagement between an Engineer and a property user. The Engineer accepts full and exclusive professional liability for their work product and warrants that they hold appropriate professional indemnity insurance to a level consistent with the nature of the services they offer.
8. Acceptable Use Policy
Property Wall is designed, operated, and maintained for the specific and lawful purposes of facilitating genuine property listings, enabling property discovery, and connecting property owners with a network of verified service providers in the Indian real-estate sector. Every use of the platform’s features, interfaces, and APIs must be strictly confined to these intended purposes and must comply, at all times, with the applicable laws of the Republic of India, including but not limited to the Information Technology Act, 2000 (as amended), the Indian Penal Code, the Consumer Protection Act, 2019, and the DPDP Act, 2023.
You agree to engage with all other platform participants — including property owners, buyers, renters, Field Managers, Engineers, and Mediators — in good faith, with honesty, and with due respect for their lawful interests and personal safety. You will not use any feature of the platform, including the listing interface, the messaging capability, or the search functionality, to mislead, deceive, pressurise, harass, defame, or harm any other user, participant, or third party. Any communication or transaction conducted through or in connection with the platform must comply with applicable consumer protection and contract legislation.
You agree to use the referral system exclusively for its intended purpose: to introduce genuine new users to the platform who would not otherwise have registered. Each prospective new user may be referred and credited as a referral only once. You will not create artificial referrals, solicit the creation of fake registrations, assist others in manipulating the referral system, or participate in any arrangement designed to generate referral rewards inconsistent with genuine platform growth. Every referral must represent a real, independent individual who has not previously used the platform.
The platform’s underlying technical infrastructure — including its API endpoints, database queries, administrative interfaces, and file storage systems — must be accessed and used exclusively through the official, authorised interfaces provided by Property Wall. You agree not to probe, map, test, or scan the platform’s infrastructure for vulnerabilities, not to use any automated tool, script, or bot to extract data from the platform without explicit written authorisation, not to introduce any code intended to disrupt platform operations, and not to perform any action that would reasonably be expected to impose an unreasonable load on the platform’s servers or degrade service quality for other users.
9. Prohibited Activities
The following activities are absolutely prohibited on Property Wall. Any user who engages in a prohibited activity — or who assists, encourages, or facilitates another party in doing so — will be subject to immediate, indefinite account suspension, permanent account deactivation, and, where the activity constitutes a criminal offence or a civil wrong under Indian law, referral to the appropriate law enforcement or regulatory authorities and/or the commencement of legal proceedings.
Fraudulent or non-existent property listings. It is prohibited to submit a listing for a property that does not physically exist, for a property that you have fabricated or substantially misrepresented, or for any property for which you have no legal authority to list at the time of submission. Fictitious listings harm property seekers who may incur financial and time costs pursuing non-existent opportunities, and they may constitute criminal fraud under Sections 415 and 420 of the Indian Penal Code.
Submission of false, forged, or stolen identity documents. It is prohibited to submit, during any registration or verification process, a fabricated, altered, borrowed, stolen, or otherwise inauthentic PAN card number, GST registration number, bank account detail, or professional licence reference. Submitting false identity documents may constitute an offence under the Income Tax Act, 1961, the Goods and Services Tax Act, and other applicable legislation. Property Wall will report credible instances of identity document fraud to the appropriate authorities without prior notification to the account holder.
Deliberate misrepresentation of property characteristics. It is prohibited to deliberately and materially misstate the price of a property, its area, the number of habitable rooms, the floor level of a unit, the furnishing status, the availability of declared amenities, or the GPS coordinates of the property’s location. Deliberate misrepresentation of these characteristics for the purpose of inducing a buyer or renter to act on false information constitutes a material representation within the meaning of Indian contract law and may constitute an offence under applicable consumer protection legislation.
Unauthorised access and privilege escalation. It is prohibited to attempt to access administrative panel resources, other users’ account data, protected database records, internal API endpoints, or any platform resource for which your assigned role does not grant explicit authorisation. It is prohibited to attempt to exploit, circumvent, or defeat any component of the platform’s authentication, session management, or role-based access control systems. Any act of unauthorised access or attempted privilege escalation may constitute an offence under Section 66 of the Information Technology Act, 2000, and will be treated as a criminal matter.
Automated data scraping and systematic extraction. It is prohibited to use any bot, web crawler, automated browser, browser automation framework, scripted HTTP client, or other automated or semi-automated tool to systematically extract, copy, index, store, or republish listing data, user contact information, pricing data, or any other content from the Property Wall platform without the express prior written authorisation of Property Wall. All commercial use of Property Wall data requires a separate written data licence agreement. Unauthorised scraping constitutes a violation of Property Wall’s intellectual property rights and may give rise to legal action.
Referral code abuse and fictitious registrations. It is prohibited to create fictitious or duplicate user accounts for the purpose of generating referral rewards, to use a referral code to register an account that is not a genuine new user engaged with the platform for its intended purposes, or to participate in any coordinated scheme designed to manufacture artificial referral activity. The platform’s referral system is enforced at the database level, and evidence of systematic abuse will result in the forfeiture of all associated rewards and the deactivation of all implicated accounts.
Upload of malicious, harmful, or infringing content. It is prohibited to upload, transmit, or introduce to the Property Wall platform any file, image, document, or data object that contains a computer virus, trojan horse, ransomware, malware, spyware, or any other type of malicious code or instruction set that is designed or intended to interfere with platform operation, access or corrupt platform data, or harm other users’ devices or systems. It is equally prohibited to upload content that infringes third-party intellectual property rights, violates another person’s privacy rights, is defamatory, obscene, or unlawful.
10. User Responsibility for Data Accuracy
Property Wall provides the technological infrastructure through which users submit, manage, and publish content and personal information. While the platform’s Administrator review workflow serves as a quality check on submitted property listings, it does not constitute an independent verification of the factual accuracy, legal validity, or completeness of every data point submitted. The accuracy, completeness, currency, and legality of all content and data you submit to Property Wall — whether in a property listing, a service-provider registration form, a profile update, or any other platform interface — is your sole and exclusive responsibility.
By submitting any content or data to Property Wall, you represent and warrant, unconditionally, that: (a) the data and content are accurate and correct to the best of your knowledge at the time of submission; (b) the content does not and will not infringe the copyright, trademark, database right, privacy right, or any other intellectual property or personal right of any third party; (c) the content is not defamatory, obscene, unlawful, or capable of exposing Property Wall to legal liability; (d) where you have uploaded photographs, you own the copyright in those photographs or hold a licence that permits the upload and display contemplated by the platform; and (e) you hold all rights and authorisations necessary to submit the data and to grant the licences described in Section 12.
If you discover at any time that any listing data, account data, or other content you have submitted to the platform contains an error, has become outdated, or was inaccurate at the time of submission, you are required to correct it as promptly as practicable. For published, approved listings, material inaccuracies — particularly inaccuracies relating to price, area, or the identification of the property — must be corrected immediately upon discovery to prevent property seekers from relying on false information in their decision-making. Where a material correction to an approved listing requires the listing to be temporarily unpublished and re-reviewed by an Administrator, you agree to that process.
You acknowledge and accept that content and data you have deleted from the platform — whether deleted voluntarily or pursuant to an administrative action — may not be immediately and permanently removed from all systems. Deleted content may be retained in a soft-deleted state in the database for audit, legal, and dispute-resolution purposes in accordance with the retention schedules set out in the Privacy Policy. Soft-deleted content is not visible to other users and is excluded from all public-facing queries. However, it may be accessible to platform Administrators during the course of a lawful investigation and may be subject to production in legal proceedings.
11. Service Availability and Platform Limitations
Property Wall is provided strictly on an “as is” and “as available” basis. While Property Wall makes commercially reasonable efforts to maintain continuous, high-quality, and reliable access to the platform, it makes no representation, condition, warranty, or guarantee, express or implied, that the platform will be available without interruption, free from technical errors or defects, consistently performant, secure against all possible threats, or that any specific defect will be identified and corrected within any specified timeframe. Platform availability may be affected at any time by factors beyond Property Wall’s reasonable control, including but not limited to the failure or degradation of third-party cloud services, internet infrastructure outages, denial-of-service attacks, force majeure events, or scheduled or emergency maintenance work.
Property Wall explicitly does not guarantee, and shall not be held responsible for, the commercial or transactional outcome of any listing published on the platform. The publication of a property listing on Property Wall does not guarantee that the property will be sold, rented, or leased; that it will attract any enquiries from buyers or tenants; that it will be viewed by any minimum number of users; that any enquiry received through the platform will result in a concluded transaction; or that the asking price stated in a listing reflects or will achieve a market value. Property Wall is a listing marketplace, not a real-estate brokerage, and its role ends at connecting parties; the commercial success of any transaction is the responsibility of the participating parties.
Property Wall further explicitly does not provide, and its platform does not constitute, any form of property valuation, legal title verification, mortgage or financial advisory, planning or environmental assessment, or structural engineering advisory service. All information publicly available on the platform is user-generated and has not been independently verified by Property Wall for accuracy, completeness, or legal compliance. Any reliance you place on listing data, price information, property descriptions, or any other content available on the platform for the purpose of making a real-estate investment, purchase, or rental decision is made solely at your own risk and with the full understanding that independent professional due diligence is essential.
Property Wall reserves the right to perform scheduled or emergency maintenance on the platform at any time without advance notice, and to temporarily restrict or suspend access to some or all platform features during such maintenance periods. We will endeavour to schedule maintenance during low-traffic periods and to provide advance notice through in-platform notifications where planned maintenance is anticipated. Property Wall will not be liable for any commercial loss, missed transaction opportunity, or inconvenience arising from planned or unplanned platform unavailability.
12. Intellectual Property Rights
All intellectual property rights in and to the Property Wall platform — including, without limitation, the platform’s source code, software architecture, compilation of data, interface design, visual design elements, iconography, typography, trademarks, service marks, trade names, logos, and all other proprietary technology and creative works developed by or for Property Wall — are and shall remain the exclusive property of Property Wall or its licensors. These rights are protected by Indian copyright law, trademark law, and other applicable intellectual property legislation. Nothing in these Terms transfers or licences any of these proprietary rights to you, except as expressly set out in this section. Without our prior written consent, you may not copy, reproduce, modify, adapt, translate, create derivative works from, distribute, publicly perform, publicly display, reverse engineer, decompile, or disassemble any element of the Property Wall platform.
You retain all intellectual property rights in the original content you submit to Property Wall, including the text of your property listings, the descriptions you compose, and the photographs you upload. By submitting content to the platform, you grant Property Wall a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, copy, store, display, distribute, and adapt that content solely for the purpose of operating, maintaining, and improving the platform. This licence is limited to what is necessary for the platform to function — for example, to display your listing to other users, to store your photographs in cloud object storage, and to index your listing for search. The licence terminates when you permanently delete the relevant content or when your account is closed, subject to the data retention provisions in the Privacy Policy. You may request the removal of specific content by contacting us.
By submitting content to Property Wall, you represent and warrant that you own all intellectual property rights in that content or that you hold a valid licence or permission that authorises the submission and display contemplated by these Terms, and that the content does not infringe the copyright, trademark, database right, or any other intellectual property right of any third party. You agree to indemnify and hold Property Wall harmless against any claim, demand, action, loss, liability, or expense (including reasonable legal fees) brought against Property Wall by any third party arising from or connected with a breach of this warranty.
13. Account Suspension and Termination
13.1 Suspension and Termination by Property Wall
Property Wall reserves the right, exercisable at its sole and absolute discretion and without prior notice to the affected user, to immediately suspend, restrict, or permanently deactivate any user account at any time. Grounds for suspension or deactivation include, without limitation: a material breach or repeated breach of any provision of these Terms; any actual or suspected fraudulent, deceptive, harmful, or unlawful use of the platform; activity that Property Wall reasonably believes poses a risk to the safety, reputation, or integrity of the platform or to other users; the submission of misleading, unlawful, or infringing content; conduct constituting harassment toward another user or platform participant; or any other conduct that Property Wall reasonably determines to be contrary to the interests of the platform or its community of users. Account suspension is effected by setting the account status to blocked. Permanent deactivation is effected by setting the account-level isDeleted flag, which removes the account from all active queries while the record is retained for audit purposes.
Property Wall may further, without prior notice to the listing user, remove, reject, or unpublish any property listing at any time — including listings that have already passed through the approval workflow and been published — if the listing is found to violate these Terms, if it is the subject of a credible complaint of misrepresentation or fraud, if the listing user’s account is suspended or deactivated, or if continued publication would be contrary to the interests of the platform or its users. The administrative removal of a listing does not, by itself, constitute a legal finding of wrongdoing by the listing user and does not prevent Property Wall from taking further action if warranted.
Where reasonably practicable and consistent with the nature and urgency of the situation, Property Wall will communicate the reason for any account suspension or deactivation to the affected user’s registered email address. A user whose account has been suspended may submit a written appeal to hello@propertywall.com with the subject line “Account Suspension Appeal — [Account Email]”. Property Wall will review all appeals in good faith and will respond within a reasonable period. Property Wall retains final and unreviewable discretion over all account status decisions.
13.2 Voluntary Termination by the User
You may voluntarily terminate your account at any time by writing to hello@propertywall.com and requesting permanent account deletion. Upon confirmation of your identity and your intent, your account will be deactivated, all active property listings associated with your account will be unpublished and soft-deleted, and your personal data will be handled in accordance with the retention and deletion provisions set out in the Privacy Policy. Termination of your account does not extinguish any obligation, liability, or right that accrued before the date of termination. The provisions of Sections 10, 12, 13, 14, 15, and 16 of these Terms are intended to and shall survive the termination of your account indefinitely.
14. Limitation of Liability
Property Wall operates as a technology platform and digital marketplace. To the fullest extent permitted by the applicable law of the Republic of India, Property Wall, together with its directors, officers, employees, agents, contractors, affiliates, and successors, hereby expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy of information, or the achievement of any particular result through the use of the platform. You access and use Property Wall entirely and exclusively at your own risk.
Property Wall shall not be liable, under any theory of legal liability whether in contract, negligence, strict liability, tort, statutory duty, or any other legal theory, for any loss or damage of any nature — including direct, indirect, incidental, special, consequential, exemplary, or punitive damages — arising from or in connection with: your use of or inability to use the platform or any feature thereof; any transaction, commercial engagement, or dispute between you and any other platform user or third party; any inaccuracy in, or reliance on, user-submitted property listing data; the approval, rejection, or removal of any listing; any unauthorised access to or compromise of your account where such access arose from insufficient protection of your credentials; any interruption, downtime, or termination of the platform; or any claim arising from the professional services of any Engineer registered on the platform.
Property Wall does not independently conduct title searches, legal ownership verification, structural inspections, or ground-truth verification of any piece of information in a user-submitted property listing. While the Administrator review process is designed to filter out obviously fraudulent or incomplete submissions, it does not constitute a guarantee of the accuracy or legality of approved listings. Any decision to purchase, rent, or otherwise acquire rights in a property listed on the platform must be preceded by your own independent professional due diligence. Property Wall will not be liable for any loss — financial or otherwise — arising from the failure to conduct appropriate due diligence.
Notwithstanding any other provision of these Terms, if any court of competent jurisdiction in India determines that Property Wall is liable to you for any cause of action arising under or in connection with these Terms or your use of the platform, Property Wall’s total and aggregate liability to you for all such causes of action, whether arising together or separately, will in no circumstance exceed INR 5,000 (Indian Rupees Five Thousand only) or the total amount, if any, actually paid by you to Property Wall in the three-calendar-month period that immediately precedes the event giving rise to the claim, whichever is the lower amount. This limitation of aggregate liability is a negotiated and fundamental element of the basis on which Property Wall makes the platform available.
15. Indemnification
You agree to indemnify, defend, and hold harmless Property Wall, its parent entities, subsidiaries, affiliates, and each of their respective officers, directors, employees, agents, contractors, licensors, and successors from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, fines, penalties, judgments, costs, and expenses (including reasonable solicitors’ fees and litigation costs) of any nature whatsoever arising from or in connection with: your access to or use of the platform; any content you submit, upload, post, display, transmit, or otherwise make available through or in connection with the platform; your violation of any provision of these Terms; your violation of any applicable law, regulation, or third-party right, including intellectual property rights, privacy rights, and consumer protection rights; any misrepresentation you make in a property listing or service-provider registration; and any transaction, professional engagement, or dispute in which you participate through or in connection with the platform.
This indemnification obligation applies with particular force in circumstances involving identity fraud or the use of false documentation. If you have submitted fabricated, altered, or stolen identity documents — including PAN numbers or GST registrations — during any registration or verification process, and if any third party or regulatory authority suffers harm or incurs expense as a direct or indirect consequence, you agree to fully and immediately indemnify Property Wall against any resulting claim, civil judgment, regulatory penalty, investigation cost, or reputational damage. An equivalent obligation applies in the context of fraudulent property listings: if a buyer or renter suffers financial or other loss as a result of a listing you submitted in breach of these Terms, you agree to indemnify Property Wall in full for any liability, cost, or penalty imposed on Property Wall in connection with that loss.
Property Wall reserves the right, but is not obliged, to assume the exclusive control and conduct of the defence of any claim or proceeding for which you are required to indemnify it under these Terms. In all cases where Property Wall assumes the defence of such a claim, you agree to cooperate fully with Property Wall and its legal advisers, to provide all relevant information, access, and assistance requested, to execute all documents reasonably required in connection with the defence, and to refrain from settling any claim without Property Wall’s prior written consent. The indemnification obligations set out in this section shall survive the termination or expiry of your account and these Terms.
16. Governing Law and Jurisdiction
These Terms and all disputes, controversies, claims, or differences of any nature arising out of or relating to them — including their existence, validity, formation, interpretation, breach, performance, or termination — and all disputes arising from or relating to your use of Property Wall or any transaction facilitated through the platform, are governed by and shall be construed in all respects in accordance with the laws of the Republic of India. The laws that may be relevant to these Terms include, without limitation, the Indian Contract Act, 1872; the Information Technology Act, 2000 (as amended by the Information Technology (Amendment) Act, 2008); the Consumer Protection Act, 2019; the Real Estate (Regulation and Development) Act, 2016; the Digital Personal Data Protection Act, 2023; and any other applicable Indian legislation. No principles of conflict of laws shall be applied in a manner that results in the application of the law of any jurisdiction other than India.
All legal proceedings arising from or relating to these Terms or the use of Property Wall shall be subject to the exclusive jurisdiction of the competent civil and commercial courts located in India. By registering on the platform and using any of its features, you irrevocably and unconditionally submit to the personal jurisdiction of those courts, agree that such courts are a convenient and proper forum for the resolution of any such dispute, and waive any objection you may have, now or in the future, to the laying of venue in those courts on the ground that the forum is inconvenient, inappropriate, or otherwise improper.
Before commencing any formal legal proceedings in any court, both parties irrevocably commit to making a genuine and sustained good-faith effort to resolve the dispute through direct negotiation and discussion. A party wishing to invoke this resolution process must deliver written notice of the dispute to the other party, specifying in reasonable detail the nature of the dispute and the resolution sought. Both parties then agree to engage in good-faith negotiation for a minimum period of 30 calendar days from the date of that notice before either party may initiate formal proceedings. Nothing in this clause prevents either party from seeking urgent, interim, or interlocutory relief (including injunctive relief) from a court of competent jurisdiction where immediate action is genuinely necessary to prevent irreparable harm or to preserve rights pending the outcome of the dispute.
17. Updates to These Terms
Property Wall reserves the right to revise, amend, supplement, or replace these Terms at any time, for any reason, including to reflect changes in the platform’s features and functionality, changes to applicable Indian law or regulatory requirements, changes to the nature or scope of the service-provider network, improvements to the clarity or enforceability of existing provisions, or for any other commercially or legally relevant reason. We are committed to ensuring that these Terms accurately reflect the actual operation of the platform at all times.
When we make material changes to these Terms — by which we mean changes that meaningfully alter the rights or obligations of users, modify the limitation of liability, change the governing law, or introduce new categories of prohibited conduct — we will update the version number and “Last updated” date displayed at the top of this page. Where reasonably practicable, and where we hold a current and valid email address for your registered account, we will send you advance notification of material changes by email or through the platform’s in-platform notification system at least 14 days before the revised Terms take effect. If you disagree with any proposed material change notified to you during this advance notice period, you may terminate your account by contacting us before the effective date of the revised Terms.
Your continued access to or use of Property Wall on or after the effective date of any revised Terms will constitute your irrevocable acceptance of those revised Terms in their entirety, without reservation. The version number and “Last updated” date displayed at the top of this page are the definitive indicators of the version you are reading. For minor changes — such as typographical corrections, formatting adjustments, or the updating of contact details — the effective date will be updated but advance individual notification to registered users may not be sent. Property Wall recommends that you review these Terms periodically, and particularly before making any material use of the platform, to ensure you remain familiar with your rights and obligations.
